1. Acceptance

By accessing or using Manothi Online Radio websites, apps, streams, playlists, storefronts, artist dashboards, broadcasts and other digital experiences we operate (collectively, the "Services"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services.

If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" includes you and the entity.

2. Other policies

Our Privacy Policy explains how we handle personal information. Additional terms or policies we post for specific features (for example, community guidelines, seller or payout terms, API terms, promotional rules) apply when you use those features and are part of your agreement with us if we link them clearly.

3. Accounts

You may need an account to access some features. You agree to provide accurate information, keep your login credentials confidential, and notify us promptly of unauthorised use. You are responsible for activity under your account except where we are at fault. We may refuse registration, suspend or close accounts that risk the Services or other users, or that violate these Terms.

4. Content and intellectual property

The Services, including software, branding, logos, designs, audio mixes where we are the rights holder, compiled data, and documentation, are owned by Manothi or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable licence to access and use the Services for their intended purpose.

If you upload or submit content ("Your Content"), you retain ownership of Your Content. You grant Manothi a worldwide, non-exclusive licence to host, store, reproduce, adapt, transcode, distribute, publicly perform, communicate to the public, display, and otherwise use Your Content as reasonably needed to operate, promote, and improve the Services, including features such as streaming, discovery, charts, search, security, backup, and analytics. You represent that you have the rights needed to grant this licence.

5. Acceptable use

You agree not to:

  • Violate applicable law or infringe others' rights, including copyright, trademark, privacy, or publicity;
  • Attempt to disrupt, overload, scrape, reverse engineer, or circumvent security or access controls, except as allowed by law;
  • Upload malware, send spam, harass others, or manipulate metrics (including artificial streaming);
  • Misrepresent your identity, impersonate others, or sell or transfer your account without our consent;
  • Use the Services to build a competing product using our content or data without permission.

6. Purchases and marketplace

If you buy digital goods, tickets, merchandise, or services through the Services, additional seller terms, refund rules, delivery estimates, and payment processor terms may apply. Prices and availability may change. Taxes and fees may be added as required. You authorise us and our payment partners to charge your selected payment method.

7. Third-party services

The Services may link to or embed third-party sites, players, social logins, or storefronts. Those services are governed by their own terms and privacy policies. We are not responsible for third-party content or practices.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement. We do not guarantee uninterrupted, error-free, or secure operation, or that content will meet your expectations.

9. Limitation of liability

To the fullest extent permitted by law, Manothi and its affiliates, directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising from your use of the Services. Our aggregate liability for claims arising out of these Terms or the Services is limited to the greater of (a) the amount you paid us for the Services in the twelve months before the claim or (b) fifty US dollars, except where liability cannot be limited by law (for example, death or personal injury caused by negligence, or fraud).

10. Indemnity

You will defend and indemnify Manothi and its affiliates against claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by our wilful misconduct.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if we must comply with law, or if we discontinue a feature or the Services (where we will try to give reasonable notice when practicable). Provisions that by their nature should survive will survive, including intellectual property licences to the extent needed to operate archival copies, disclaimers, limitations of liability, indemnity, and dispute terms.

12. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Lesotho, without regard to conflict-of-law rules. Courts located in Lesotho have exclusive jurisdiction over disputes, subject to any non-waivable rights you may have under consumer protection laws in your home country. If any provision is unenforceable, the remaining provisions remain in effect.

13. Changes

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. If a change is material, we will provide additional notice when required by law. Continued use after the effective date constitutes acceptance of the updated Terms.
